Solis CJSC, managed by Amber Capital and combining a portfolio of solar power plants, issues bonds
Solis CJSC, a holding company managed by Amber Capital and combining a portfolio of solar power plants, is launching the public placement of nominal coupon-paying USD bonds with total face value of USD 2 million (total quantity – 20,000 bonds). The bond placement arranger is Ameriabank.
The face value per bond is USD 100, with 8% annual coupon rate (paid quarterly), minimum purchase quantity of 5 bonds, and 48-month maturity period. The placement of bonds will start on June 4, 2026 and close on July 30, 2026 or earlier, if the entire volume is placed before that date).
The sole shareholder and ultimate beneficial owner of Solis is EU-Armenia SME Fund – the first institutional private equity fund in Armenia, managed by Amber Capital. Solis CJSC is a leading platform in the renewable energy sector, with eight solar power plants located in different regions across Armenia. The geographically balanced portfolio contributes to generation of sustainable green electricity in different parts of the country.
The company holds one of the largest solar energy portfolios in Armenia, with total nominal (installed) capacity of 34 MW, generating 64 GWh of electricity annually. That covers the electricity demand of more than 23,500 households. Operation of solar power plants allows reducing annual CO₂ emissions roughly by 27,750 tons.
The company will use the funds raised from bond placement for loan refinancing, capital expenditures, and expansion of its operations.
The bonds can be purchased online via MyInvest investment platform in Ameriabank’s MyAmeria app, or by visiting any branch of Ameriabank and completing the application-order, or by sending the completed application-order to Ameriabank at [email protected].
Following initial placement, the company will apply to Armenia Stock Exchange for listing, after which it will be possible to buy and sell the bonds on the secondary market.
Solis CJSC bond prospectus was registered by the resolution of the Governor of the Central Bank of Armenia N 1/219 Ա dated May 20, 2026.
